WESTERN REGIONAL BOILER ASSOCIATION BYLAWS

PURPOSE
The purpose of the Western Regional Boiler Association is to establish an organization that brings together those individuals that are involved in the day to day operations, maintenance, and engineering/design of facilities that employ power boilers. The association encourages individuals having involvement with power boiler facilities from the western states and provinces of the United States and Canada to become members and participate in the association's annual conference. Our goal as an association is to share information and experience in order to improve boiler operations to meet todays and future energy demands in industry in the safest and most economical manner.Each year the association holds a 2½ day conference in one of the major cities of the west. The objective of the conference is to provide a forum to conduct a series of formal and informal meeting sessions. Vendors who manufacture boilers or boiler plant equipment, controls, etc. or provide related services are also invited to attend the conference (see ARTICLE VI). Formal meeting sessions will include technical presentations on topics of interest to association members. One formal session will be devoted exclusively to a discussion by association members that focuses on operating, maintenance, and safety issues associated with boilers and related auxiliary equipment. Informal sessions include such things as meal gatherings, breaks, and a facility tour. The informal sessions give association members a chance to meet on an individual basis and discuss technical issues of common interest. In addition, informal sessions provide time for association members to meet with vendors attending the conference to learn more about the products and services they provide for power boiler facilities.
ARTICLE I
Section 1: The association shall have a steering committee which shall consist of a Chairman, Co-Chairman, and 6 members, 2 of which will be appointed every other year.
Section 2: The steering committee will decide the location of the annual conference and will consider suggested meeting places by association members.
Section 3: The steering committee will meet at least sixty days prior to the annual conference to decide on the conference agenda.
Section 4: Steering committee approval will be required for vendor or manufacturer participation at the conference.
ARTICLE II
Section 1: The chairman and co-chairman are elected by the membership.
Section 2: The chairman will serve for 1 year.
Section 3: The co-chairman will assume the duties of the Chairman when the current chairman's term has expired. A new co-chairman will then be elected by the membership.
Section 4: The chairman will be responsible for arranging and officiating at the annual conference.
Section 5: The chairman and co-chairman will have signature authority on the association's checking account. The chairman shall be responsible for its maintenance.
Section 6: The co-chairman will assist the chairman in his or her duties and perform the duties of the chairman in his or her absence.
ARTICLE III
Section 1: The minutes of the annual conference and the membership list shall be distributed to the membership within 45 days of the annual conference.
Section 2: The membership list shall not be distributed to anyone other than association members.
ARTICLE IV
The registration fee for attending the annual conference will be set by the steering committee after review of the financial status of the association.
ARTICLE V
The by-laws of the Western Regional Boiler Association will be reviewed by the steering committee from time to time and be revised as necessary.
ARTICLE VI
In keeping with the spirit of the PURPOSE of the Western Regional Boiler Association by-laws, the association retains the right to exclude vendors from formal meeting sessions. The chairman, at the first formal session of the annual conference will designate which formal sessions are “open” and those that are “closed”. Vendors may only attend open sessions.
